The argument

CYBR starts construction in month 13 and sells in month 48, so it competes with what breaks ground now; the latest dated readings above show starts falling, not that they will stay down.

The counter

Starts are rate-sensitive. A material fall in the ten-year rebuilds the pipeline CYBR leases into, and the sale is at month 48, with the pro forma holding the cap flat at 5.00 per cent throughout.

The land

Carried at
$2,010,000
Previously offered at
$2.5mm

Vera Fund owns the land and carries it at $2,010,000 — below the $2.5mm at which it had previously offered the site. The delta runs in investors' favour. It is still a related-party price set by one side, and we publish the delta rather than the assurance.

The dated facts

It is owned by a Vera Fund affiliate, it competes with CYBR for the same tenants, and its asking rents are a related party's own — which is exactly why this page hands you three listing sites that are not us. A listing site may repeat the property's own feed; the certified rent roll in the data room does not.

Quattro's factsOffering memorandum

What you will find if you check, and you should check.

The property's own website and RentCafe listed units at Quattro as available when we read them on 21 September 2026. At twenty units each apartment is worth five percentage points, and marketing feeds include notice-to-vacate units and future move-ins, so a snapshot is not an occupancy figure. We are not going to argue with a screenshot. The answer is the certified rent roll, the trailing twelve months and the week-by-week lease-up curve, all of which are in the data room, and all of which are the documents you would ask for anyway.

When both buildings have a vacancy.

Quattro and CYBR will at times both have an empty apartment and one prospective tenant. The sponsor states its policy for that moment: the enquiring tenant is shown both buildings and chooses, and no lead is routed to the affiliate's building first. The sponsor states that the policy will be written into the property-management agreement and disclosed to both ownerships. It is not yet a document you can read; ask for it in writing before you invest.

aventuraquattro.com — the property's own website, owned by a Vera Fund affiliate · as observed · captured once, not live, not refreshed

Aventura Quattro is a separate 20-unit building owned by a Vera Fund affiliate. It is not an independent comparable, it competes for the same tenants, and its lease-up happened under different market, product and financing conditions from this one. Nothing it did predicts what CYBR will do.

What the train is for

We make no claim that the train raises rents. Post-recession studies of commuter-rail proximity find the effect on rental values insignificant or negative.

What it does, in underwriting terms, is make two on-site spaces for thirty-eight apartments defensible. That is optionality, and it is the claim the evidence supports.

The pedestrian bridge from the station to Aventura Mall is not built. It is a pending catalyst, not a feature of this building, and nothing in the underwriting depends on it.

The memorandum's honest read of the block

The block is younger and cheaper than the ZIP around it. Ojus has 12.4% of its population aged 25 to 34 against 9.2% in ZIP 33180, and a median gross rent of $1,810 against $2,563.

It is not a car-free population. Only 6% to 7% of households here have no vehicle. The building is underwritten for a car-light renter, not a car-free one, and the shared fleet widens the funnel rather than replacing a car.

Rent comparables

New construction within three miles. Subject rents are pro forma assumptions in 2026 dollars.

On a per-square-foot basis the subject is underwritten above every larger comparable in this set. The figure is in the pro forma, behind the gate.

What survives

38 units is a different lease-up exposure from 420; those concessions were advertised on 21 Sep 2026 by buildings already leasing, and our lease-up begins only after construction; and the rent is untrended, which is genuinely conservative against trended underwriting and not conservative against today's net-effective rents.

Basis

Stabilized, untrended 2026 dollars

Someone else's money, three blocks away.

Avida Aventura, 19401 W Dixie Hwy, 266 units built in 2024, traded in May 2026 for about $109.9mm — $413,158 a unit — from Fifield Companies to Breevest, with a mortgage of $85,000,000 from BDT & MSD.

That is institutional capital transacting on this corridor, and it is not ours.

Market context that is not ours

  • Aventura's median asking rent was $3,300 in early September 2026, down 2.9% year on year; two-bedrooms averaged $3,295, up 2.0%.
  • County Class A and B rents are easing about 1.4% a year while Class C rises — the pipeline is competing on concessions, not headline rent.

Why there is a gate

The full pro forma sits behind an accredited-investor gate — not to create friction, but because a target return is not public content.

Of the sponsor sites we studied before building this one, not one publishes a target return for an unbuilt, unraised deal on an open page. The ones that publish numbers publish realised ones, dated; where a projection appears at all, it is for an asset that already stands.

Risk factorsOffering memorandum

    Development and Construction Risk

    What breaks this: hard cost.

A ten per cent increase in hard cost reduces the modeled levered return by approximately 600 basis points — the offering memorandum's own words — and the contract is not signed.

Risk factor, in the memorandum's words

Ground-up development. The general construction contract has not been executed and the hard cost is a budget rather than a contracted price. A 10% increase in hard cost reduces the modeled levered return by approximately 600 basis points.

    Construction contract

    Construction loan

    No loan has been committed.

    Forward-looking statements
Some statements are forward looking and involve known and unknown risks, uncertainties and other factors that may cause actual results to differ materially. The Sponsor cannot guarantee future results and assumes no duty to update them.
    Risk of loss
Investors must be prepared to bear the risk of their investment for an indefinite period and be able to withstand a total loss of their investment.

Two figures in one sentence are not a function. The modelled surface behind them — hard cost against rent, cell by cell — sits behind the accredited gate.

    Interest Rate and Refinancing Risk

Assumes a construction loan at 9.00% and a month-36 refinance at 5.50% sized to 1.25x DSCR. No loan has been committed.

The refinance is modelled at month 36, on the income of a leased building. If lease-up runs late, the refinance either waits or is sized on the income of a building that is not yet full.

    Conflicts of Interest

Vera Fund LLC owns Aventura Quattro on the same block, which competes with the Property.

Vera Fund owns the land free and clear. Carried at $2,010,000, below the $2.5mm value at which VF has previously offered the site. We publish the delta rather than the assurance: it is still a related-party price set by one side.

    No Control by Investors

  5. Memorandum's list, no. 03Offering memorandum

    Lease-up and Rental Rate Risk

Underwritten at rents at the upper end of the current sub-market range with a six-month lease-up. A substantial pipeline of larger, structured-parked buildings may offer concessions when the Project opens.

On the day we read them, Modera Aventura was advertising up to 2.5 months free on its own leasing site, and Apartments.com listed it at 2 months free. The larger buildings discount today; 10 / MARKET has the board.

    Competition

The industry is highly competitive and fragmented; some competitors have longer histories and greater resources.

The memorandum names Aventura Station II, Modera Aventura, Modera Aventura South, Aventura Pointe and Blue Aventura on this corridor, from 223 to 700 units, and about eight further filings between 67 and 350 units. This is 38.

    Tax Risks

Complex federal, state and local tax considerations; allocated income may exceed cash distributions.

  9. Memorandum's list, no. 11Offering memorandum

    Lack of Liquidity

Interests are restricted and unregistered; investors should be prepared to hold indefinitely.

Real Estate, Economic and Certain Other Conditions

The real estate industry is cyclical and sensitive to general economic conditions. Completion may be delayed by regulations, inspections and force majeure.

The pro forma sells the building at a 5.00 per cent cap in month 48. If the market's cap rate is higher on the day of the sale, the price is lower.

    Dependence on Management Personnel

    Environmental Matters

No assurance that environmental liabilities do not exist or will not develop; remediation costs may be substantial.

Two more, not on the memorandum's list

The approval carries four conditions. The memorandum lists them; we publish them rather than omit them.

  1. Curbside trash collection in off-peak hours under a recorded covenant
  2. No gates; emergency vehicles serve the building from the street
  3. Unity of title recorded on lots 29 and 30
  4. Tree Trust Fund contribution for the specimen tree shortfall

Conditions of approvalOffering memorandum

It is not a car-free population. Only 6% to 7% of households here have no vehicle. The building is underwritten for a car-light renter, not a car-free one, and the shared fleet widens the funnel rather than replacing a car.

Behind the gate, named but not shown

The pro forma has open items, and they sit behind the accredited gate with their figures:

  • the building's efficiency, net rentable area against gross
  • the operating-expense ratio, and the line it does not carry — a replacement reserve
  • insurance, per apartment, per year
  • a sensitivity run past the memorandum's own worst case

The absence of a downside scenario damages credibility more than the downside does.

The SEC's ten questions, answered in its order

The SEC's investor bulletin on private placements lists ten questions an investor should ask before putting money into a private offering. This page answers them in the bulletin's order. Eight are answered here in full. Two — whether our track record has been independently audited, and how prior offerings performed — are answered in the data room, and the honest answer to the first is no. There is no audited track record because there has not yet been an audit.

U.S. Securities and Exchange Commission, Office of Investor Education and Advocacy · Investor Bulletin: Private Placements under Regulation D

  1. Did the issuer provide financial statements?

Not historical ones: the building does not exist yet, so there is nothing to report on. The issuer is Vera Fund 6 LLC. Its financial document is the underlying pro forma, dated September 2026, in the data room — a projection, not a result.

    Answered here

  2. Are those financial statements independently audited?

Answered in the data room. The honest answer is no: there is no audited track record, because there has not yet been an audit.

    Data room

  3. Are the issuer's claims and expectations reasonable?

Judge them against the risk section above. Every projected financial figure on this site carries the pro forma's date and a named caution in the memorandum's words, and the target return is not on this page at all.

    12 / RISK

    Answered here

  4. Who are the issuer's competitors?

The corridor's pipeline, set out in the market section, and the building next door: Vera Fund LLC owns Aventura Quattro on the same block, which competes with the Property.

    Answered here

  5. What is management's experience and background?

Nick Polyushkin, Chief Executive Officer and Founder, and Yury Kharitonenkov, Managing Partner. The one delivered building this page can show you is next door, at 2479 NE 192nd Street.

    08 / NEXT DOOR

    Answered here

  6. How long has the issuer been in business, and how did prior offerings perform?

Answered in the data room. How prior offerings performed is a performance record, and a performance record does not belong on an open page.

    Data room

  7. How will the money be used?

Acquisition, hard costs, soft costs and financing costs, line by line in the capital section. Two lines are stated in the memorandum's own notes: Hard cost carried at $292 per gross square foot plus a 5% owner's contingency. The construction contract has not been executed. Vera Fund owns the land free and clear. Carried at $2,010,000, below the $2.5mm value at which VF has previously offered the site. The other amounts sit behind the gate.

  8. When are the restrictions on transferring the interests lifted?

Not on any schedule this page can promise. Interests are restricted and unregistered; investors should be prepared to hold indefinitely. The interests have not been registered under the Securities Act of 1933, as amended, or any state securities laws, in reliance upon exemptions from registration provided by Section 4(2) of the Securities Act and similar state exemptions. The interests have not been approved or disapproved by the Securities and Exchange Commission or any state securities commission.

    Answered here

  9. Are you comfortable holding the investment indefinitely?

The plan is a sale in month 48, a 4-year hold; the memorandum's legend is the answer to plan on: Investors must be prepared to bear the risk of their investment for an indefinite period and be able to withstand a total loss of their investment.

    Answered here

  10. Could you afford to lose all of it?

Answer it before anything else. The construction contract is not signed and no loan is committed; the sixteen risk factors above are the ways a total loss could happen.

Two tax questions

Draft wording — to be reviewed by a CPA before launch. It is general information, not tax advice.

  1. Can I invest through a self-directed IRA?

You can ask to. Leveraged real estate held inside an IRA can generate unrelated business taxable income, including unrelated debt-financed income, which may be taxed inside the IRA. Whether it applies to you, and how much, is a question for your own tax adviser.

  2. When would a K-1 arrive?

The memorandum does not state a delivery date for the partnership's K-1. Ask, and the expected timing comes back in writing before you invest.
