How we qualify investors

This is a private placement. It may be made only to accredited investors, and under the exemption it relies on we must know who we are talking to before we share any offering terms. Here is exactly how that works — and what happens if you do not qualify.

Ticking a box is not verification, and the SEC says so plainly. Under the exemption this offering relies on, access follows a conversation, not a checkbox.

The criteria

Who may invest?

    Income

    You made more than $200,000 in each of the last two years — or more than $300,000 together with a spouse or spousal equivalent — and you reasonably expect the same this year.

    The commonest route, and the one most people qualify under without knowing the threshold.

    Net worth

    Your net worth is more than $1,000,000, on your own or with a spouse or spousal equivalent, not counting the value of your home.

    The exclusion of the primary residence is the part people get wrong in both directions. An increase in the mortgage on it within 60 days before you invest counts as a liability.

    Professional licence

    You hold one of these licences, in good standing: Series 7, Series 65, Series 82.

    The SEC added this route and most forms still omit it. A licensed adviser qualifies on the licence alone, whatever the income.

    Entity or trust

    A company, partnership or trust with more than $5,000,000 in assets that was not formed to make this particular investment — or an entity in which every equity owner is an accredited investor.

    We need to know which, because the documents and the signature block differ.

Institutions, family offices and the issuer’s own directors and executive officers have routes of their own under the same rule. If you think one of them describes you, say so when you write, and ask.

What do you ask?

Three short screens. Who you are — investor type, your name, an email address and where you live, because your jurisdiction changes which rules apply to us. Which of the routes above describes you, or that none does. And an indicative ticket band, which commits you to nothing, with a phone number only if you would rather talk than type.

We will never ask you on this site for a Social Security number, a tax ID, an account number, a document upload or a password. We do not sell your information.

Who reads it?

Nick Polyushkin or Yury Kharitonenkov, personally. One of them replies from info@vera.fund within one business day. There is no associate, no adviser and no referral arrangement.

What happens next?

He reads what you sent and writes a note against it. He writes back to arrange a call. On that call he answers whatever you ask, and you tell him what you need to see. After the call — and only after it — the documents are shared with you.

Why a call in the middle: under the exemption this offering relies on, we have to form a reasonable belief about an investor’s circumstances, and have a relationship, before we share offering terms. A tick box does not create one. A conversation does.

What is the minimum investment?

$200,000 for natural persons and $1,000,000 for entities.

If none of this describes you

Not yet — and that is a real answer

Most of this site never required accreditation, and all of it is still here. The drawings, the programme, the entitlement, the block, the comparable rents and all 16 risk factors. Nothing physical is behind the gate.

What we will not do: take your money through a workaround, introduce you to someone who will, or pay anyone for an introduction. There is no referral programme here, and there is not going to be one.
